1. Agreement to these Terms

These Terms of Service (the “Terms”) govern your access to and use of KhoiDau (the “Service”), operated by KhoiDau (“we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Who may use the Service

You must be at least the age of majority in your jurisdiction (or have permission from a parent/guardian) to use the Service. If you use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate information and keep it up to date. You must notify us promptly of any unauthorized use of your account.

4. Acceptable use

You agree not to do any of the following:

• Use the Service for illegal, harmful, or fraudulent purposes.
• Attempt to interfere with, disrupt, or gain unauthorized access to the Service, other accounts, or systems.
• Reverse engineer, decompile, or attempt to extract the source code of the Service except where permitted by law.
• Upload, transmit, or share content that infringes intellectual property rights or violates privacy or other rights.
• Abuse usage limits, automate access in a way that harms the Service, or bypass technical limitations.

5. Your content

“Content” includes text, files, links, data, and other materials you submit to the Service. You retain ownership of your Content. You grant us a limited, worldwide, non-exclusive license to host, store, process, transmit, and display your Content solely to operate, maintain, and improve the Service and to provide features you request.

You represent and warrant that you have all rights necessary to submit your Content and that your Content does not violate law or the rights of any third party.

6. AI features and generated output (if applicable)

The Service may provide AI-assisted features and generated output. Generated output may be inaccurate or incomplete and should not be relied upon as professional advice (for example: legal, medical, financial, or tax advice). You are responsible for reviewing and validating any output before using it.

7. Third-party services

The Service may integrate with third-party services (for example, cloud storage providers). Your use of third-party services is governed by their terms and privacy policies. We are not responsible for third-party services.

8. Fees (if applicable)

Some features may require payment. If you purchase a paid plan, you agree to pay the fees and taxes described at checkout. Unless otherwise stated, fees are non-refundable. We may change pricing with reasonable notice.

9. Privacy

Our collection and use of personal information is described in our Privacy Policy. If you do not have a Privacy Policy yet, you should publish one before collecting personal data.

10. Intellectual property

We and our licensors retain all rights, title, and interest in and to the Service, including all related intellectual property. These Terms do not grant you any rights to our trademarks, branding, or other proprietary assets.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms, or to comply with law, or to protect the Service and other users. Upon termination, your right to use the Service will cease.

12. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US (IF ANY) FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $100 IF YOU HAVE NOT PAID ANY AMOUNTS.

14. Indemnity

You agree to defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service or your violation of these Terms.

15. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice (for example, by posting on the Service or emailing you). Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the updated Terms.

16. Governing law

These Terms are governed by the laws of the United States of America, without regard to conflict of laws principles.
